Role Purpose

  • The LegalCounsel role is based within the CMB Legal team providing assistance tothe MME, ISB and BB teams.
  • Therole of the Legal Counsel is to work with and for the Senior Legal Counsel to providelegal advice, guidance and support to the UK Bank’s CMB Mid-Market Enterprise,International Subsidiary Banking and Business Banking businesses to ensure thatthe Group’s exposure to legal risk is managed

Key Accountabilities

Impacton Business

  • Providecounsel and legal support on MME, ISB and BB transactions and proceduresincluding matters that may be complex or may have some impact
  • Beingproactive in the provision of legal support and in advising the businesspromptly of material legal developments and their implications
  • Participatingeffectively as part of the CMB Legal and Global CMB Legal Team
  • Co-ordinatingand managing the approach to legal risk in CMB Legal and business departmentsto ensure that the interests of the HSBC Group are adequately protected

Customers /Stakeholders

  • Provideprompt, commercial, practical and sometimes complex and/or specialised legaladvice to CMB in the UK, supporting the role of Senior Legal Counsel
  • AssistSenior Legal Counsel in the provision of legal support and in advising thebusiness promptly of material legal developments and their implications
  • SupportSenior Legal Counsel in assuring senior legal management is fully briefed onmajor issues arising and major legislative changes in area of expertise

Role Context

  • Thejobholder assists Senior Legal Counsel for MME, ISB and BB and UK CMB Legal tomanage legal risk in accordance with established policies and procedures. The diversity of HSBC’s business, itsgeographic spread and the constant changes internally and externally means thediversity of matters which the jobholder is required to manage and advise on isvery wide.
  • Therole requires an understanding of the structure of the HSBC Group and itsculture and the ability to handle complex legal issues.
  • Thejobholder must also establish close mutually supportive working relationshipswith other members of the CMB UK Legal Team and the Global Legal Function.
  • Abilityto work autonomously but has close management relationship with Senior LegalCounsel for respective business lines and seeks management input on unusualsituations, complex issues, and matters that may pose legal, financial and/orreputational risk to the company.

Role Dimensions

  • The jobholder is responsible for

(i) providing legal advice against the backdrop of both the external Legal

framework and the internal Group Standards Manual and the Legal FIM; and (ii)

assisting UK CMB to manage legal risks associated with the initiatives it

is undertaking.

Observation of InternalControls

  • Thejobholder is an “insider” for dealing purposes and subject to strict controlsand confidentiality.
  • Maintain HSBC internal control

standards, including timely implementation of internal and external audit

points together with any issues raised by external regulators.
