Board Management – Full Time Investment Trust Company Secretary (VP)

Introduction

JPMorgan Asset Management is one of the market leaders in the investment trust industry. The investment trust department of JPMorgan Funds Limited (‘JPMF’) is responsible for managing the affairs of 21 investment trust companies (all of which are listed on the London Stock Exchange, one of which is domiciled in Guernsey).

The Board Management team provides a full support service for the Investment Trusts and a number of Open ended UK funds, Luxembourg and Irish domiciled funds all of which are managed by JPMorgan Asset Management.

Overview of the Board Management Team

The Board Management Team comprises nine Company Secretaries, one Corporate Governance Manager and a Board Management Support team consisting of 6 individuals based in London and Mumbai.This role will report into the head of the Board Management and Client Service team.

The Board Management team works with a large number of teams across the Asset Management business to ensure that the boards are provided with high quality information in a timely manner, whilst additionally providing relevant and timely updates on any regulatory matters.

The core objective of the open position is to fulfil the legal duties of a company secretary for a number of investment trusts, but the role goes significantly beyond this into the wider aspects of running the trusts, and ultimately you will provide information and advice to the boards to enable them to make decisions. You will be an experienced company secretary with a proven track record of excellent performance and ambition to advance your career.

There will also be opportunities to support and oversee some of the open ended funds as well as various internal committees, depending on the candidate.

Primary responsibilities and duties

  • Fulfilling the legal duties of a company secretary for a portfolio of investment trusts

  • Providing comprehensive legal and administrative support and guidance to the board of directors

  • Assisting in the implementation of corporate strategies by ensuring that the board's decisions and instructions are properly carried out and communicated

  • Ensuring that the company complies with all relevant statutory and regulatory requirements

  • Communicating with the shareholders as appropriate

  • Acting as the appointed representative of JPMF in respect of the duties as set out in the management agreement between JPMF and the investment trusts

Candidate skills, experience and knowledge

  • Client focused- Essential to have a client centric mindset with a commitment to integrity, fairness and responsibility.

  • Previous employers and roles – Essential to have senior experience in a Company Secretarial role, preferably within an asset management environment.

  • Technical knowledge – Must have sound company secretarial knowledge including minute taking and the ability to liaise with directors at a high level with a knowledge of MAR, Companies Act and UK Listing Rules.

  • Relationship management – Essential to have the ability to develop partnerships with key business partners, including product development, operations, investment desks, compliance, risk, tax, and internal and external legal counsel.

  • Project management – Experience of managing a number of projects and managing to tight deadlines with a proven track record of managing projects within a large, highly complex, cross-functional environment.

  • Communication, influencing and interpersonal skills – Must have excellent written and verbal communication skills with an ability to articulate complex ideas, concepts, and solutions at a level appropriate to the recipient. Self motivated as well as a strong team player with a keen sense of ownership and desire for continuous improvement.

  • Document management – Must have a keen attention to detail with excellent organizational skills which can be competently utilised to manage a large agenda.

Qualifications – Fully ICSA (Institute of Chartered Secretaries and Administrators) qualified or working towards full qualification.
