Brief Description

At Network Rail, our Finance function is key to our success. Our diverse and high-achieving team is responsible for ensuring we secure appropriate funding and a get the best agreement terms to achieve and protect value for money, driving forward our continuing mission to transform the UK's rail network into a world-class infrastructure.

About the role (External)

The purpose of this role is to lead the national commercial policy formation and oversee its application in capturing value and managing commercial risks, where Network Rail is making and delivering commitments related to capital projects and service provision, both inside and outside the regulated business.

Key accountabilities

The Corporate Commercial Manager (Major Transactions), in undertaking policy development, stewardship advice, governance, advisory or dedicated transaction services, will be expected to:

    Identify and have oversight on the key commercial issues, implications, dependencies, enabling requirements, risk management and strategies to manage these.

      Lead the development, business support tool production, management, application and communication of commercial frameworks for relevant areas of responsibility in line with national commercial policy, reflecting particular business circumstances.

        Authorise Principal Agreements within own delegated authority and acting as a member of governance panel and manage delegations of authority to other NR staff.

          Lead the provision of assurance and commercial stewardship overview to the Executive and Board on specific commercial governance & policy matters. Develop and advise on the commercial implications on the business of wider regulatory, financing and corporate structures.

            Lead assurance on behalf of and provide stewardship services to the Executive around the commercial and agreements structuring on specific major project proposals, including understanding the financing and contracting context, and negotiations.

              Manage and where agreed lead matrix teams, including legal, external consultants and other internal specialists as required in conjunction with other team members.

                Lead the provision of training to clients, sponsors, project teams and others on commercial requirements when making and delivering commitments. Support and contribute to reinforcement of commercial and contracting skills in internal customers.

                  Manage and undertake allocated customer relationship activities and support.

                    Lead advisory services support and guidance to clients, sponsors and project teams from inception through to commitments being made and delivered through the creation of win-win, shared-value, non-adversarial outcomes with Network Rail's customers and stakeholders.

                      Manage the provision of guidance and support on Network Rail's existing contract obligations, including the resolution of complex contract management issue.

                        Assume responsibility and take other initiatives as required, including in problem situations as required to recover Network Rail's reputation and secure its commercial position.

                        Job Skills, Experience & Qualifications


                          Seasoned professional with a strong background of commercial experience from a variety of areas.

                            Strong communication skills: impactful, reasonable, realistic, good humoured & articulate, to include negotiation & influencing skills.

                              Experience in identification & management of commercial liabilities; understanding of procurement structures. Ability to apply perceptive scrutiny, commercial acumen, commercial policy & principles to reach robust decisions.

                                Proven successful structuring & negotiation of high value complex contracts, involving creative solution development & handling contract positions with several parties across asset lifecycles.

                                  Proven ability to lead & take a position with sound judgement, with awareness of its commercial & legal implications & when reference for legal support is appropriate.

                                    Thinking will be linked to broad functional policies, business, legal, technical, operational, organisational, regulatory, and legislative & project activities, all against the wide area of expertise relevant to the role. Significant judgement will be required to resolve issues.

                                      Significant timeframe planning required. Can manage several concurrent issues with good order. Works well under pressure in rapidly evolving situations. A self-starter, with a 'can-do will-do' attitude who is driven to achieve.

                                        Stature to work with the Board and to lead and influence change in the industry, interpersonal skills to form successful working relationships internally & externally, but also to be able to work with colleagues at all levels.

                                          Good decision-making judgement, emotional intelligence, leadership ability & a high quality & creative mind.

                                            Team focused: listens and learns, flexible in attitude. A natural leader, mentor & developer of people.

                                              Education: Degree or equivalent professional status in business, engineering, financial or legal disciplines.

                                                The projects that this role will be involved with are far reaching and the role holder will have a shared impact on their budget.

                                                    The ideal location for the role holder would be London but consideration will be given to candidates living in other locations on the proviso that they are

                                                    willing to travel to the London office as required.
