Corporate and Investment Bank – Legal – Structured Products Lawyer – Assistant Vice President/Vice President
We are looking for a structured products lawyer to work in the Markets Practice Group of the Legal Department within the Corporate Investment Bank (CIB) in EMEA. The role has a particular focus on European collateralised loan obligation transactions (CLOs), repackagings and other secured notes and emerging markets structured notes. We are based at 25 Bank Street, Canary Wharf in London with the rest of the CIB Legal department which occupies the 23rd floor.
The J.P. Morgan European primary CLO desk is engaged by third party CLO managers to act as arranger and placement agent of European CLOs. The candidate will work with the CLO desk to draft engagement letters and to review warehouse documents, CLO issuance documents and opinions drafted by external counsel. J.P. Morgan uses a number of repackaging programmes and the transactions issued under these programmes may involve any of the following asset classes – credit, equities, rates, commodities or emerging markets. J.P. Morgan also has a secured balance sheet structured notes programme which offers investors secured notes with an exposure to a variety of asset classes. As well as working on the issuance of securities, the candidate will work with other team members in maintaining the repackaging and secured balance sheet structured notes programmes, adding functionality to existing programmes and establishing new issuance platforms. The emerging markets structured notes are issued from J.P. Morgan’s unsecured balance sheet structured products programme and are linked to emerging markets currencies, bonds or reference entities. Termsheets for repackagings and the other structured notes are drafted in-house and all transaction documents are drafted by external counsel.
The candidate’s role will include identifying and advising the business on legal, regulatory and cross-border issues in delivering products to investors and assisting with the structuring, execution and documentation of transactions. The regulations which impact structured products include the Volcker Rule, US and European risk retention, EMIR, MAR, non-cleared margin rules and AIFMD. The candidate will be involved in an interesting mix of transactions ranging from broadly syndicated CLOs to highly customised, complex repackagings and structured notes that are tailored to a sole investor’s investment criteria. The candidate will also be involved in managing the implementation of new regulations for the structured products business in EMEA – recent projects include the Securitisation Regulation, MiFD II, Brexit, PD3, QFC, LIBOR reform and CSDR.
