The Legal Department of JPMorgan Chase & Co provides legal services and advice to the Firm globally. Legal is responsible for, among other things:
- managing actual and potential litigation and enforcement matters, including internal reviews and investigations related to such matters
- advising on products and services, including contract negotiation and documentation
- advising on offering and marketing documents and new business initiatives
- managing dispute resolution
- interpreting existing laws, rules and regulations, and advising on changes thereto
- advising on advocacy in connection with contemplated and proposed laws, rules and regulations, and
- providing legal advice to the Board of Directors, the business and functions. Legal selects, engages and manages outside counsel for the Firm on all matters in which outside counsel is engaged.
We are a team of seven lawyers providing legal coverage to the securitised derivatives and structured products businesses within the Markets division of the Corporate Investment Bank (CIB) in EMEA. We are based at 25 Bank Street, Canary Wharf in London with the rest of the CIB Legal department which occupies the 23rd floor.
We work closely with the Structured Investments Distributor Marketing (SIDM) and Equity Derivatives lines of businesses. The SIDM business covers the sale of structured products through distribution channels to retail and high-net worth investors. The products are sold through a number of legal wrappers, most commonly in securitised format. The securities are issued via J.P. Morgan subsidiaries, special purpose vehicles and third party MTN issuers. The products span across a full spectrum of asset classes including equity, credit, FX, commodity, rates, inflation, exotics & hybrids and funds. The business also has a Shariah-compliant structured products programme. The Equity Derivatives business, among other things, runs a successful German exchange traded warrants (ETP) platform.
The role encompasses four broad areas – transactional, advisory, platform projects and regulatory implementation. The candidate will be involved in an interesting mix of transactions ranging from private placements of flow products, public offers involving one or multiple European jurisdictions to highly customised products that are tailored to the investor’s investment criteria. The candidate will also be identifying and advising the business on regulatory and cross-border issues in delivering products to the end market or when the business wishes to employ a new distribution model or enter new markets.
The team is responsible for the CIB’s Reg S issuance programmes which are utilised globally. The candidate will be working with other team members in maintaining the programmes, adding functionality to existing programmes and establishing new issuance platforms. The team also manages any regulatory implementation for the securitised issuance business in EMEA – recent efforts include MiFID II, PRIIPs, PD3, Swiss FinSA and Brexit.
The candidate will also be involved in automation and templating initiatives collaborating with internal and external technology service providers to deliver automated solutions for legal documents such as PRIIPs KIDs and transaction documents. This is a high profile area which the business and legal department have identified as a strategic growth area within the CIB.
Essential skills, qualifications and experience
We are looking for someone who is:
licensed to practice law and a member of good standing or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction
a team player, confident and proactive, enjoys regular interaction with Sales & Trading
exceptionally organised and has great communication skills
fluent in drafting, including the ability to draft "plain language" disclosure documents
experienced with structured products and derivatives documentation
familiar with negotiating distribution agreements and licence agreements
interested in transactional and policy work, including regulatory implementation
able to advise the business on cross-border issues spanning across multiple asset classes and product wrappers and has good commercial awareness .
