The role leads and manages the provision of the highest standards of Company Secretarial support and advice to a portfolio of companies, subsidiaries and branches with an appropriate and consistent corporate governance framework.This job category supports the HSBC Bank plc Company Secretary, the Group Company Secretary and the Deputy Group Company Secretary in delivering the Company Secretarial function.This job drives the highest standards of corporate governance globally to support the delivery of Group strategy and to satisfy the expectations of our stakeholders.

The key accountabilities include:

  • Oversee the day to day management of the team under the oversight of the HSBC Bank plc Company Secretary.

  • Support delivery of the HSBC Holdings plc Annual General Meeting.

  • Support the HSBC Bank plc Company Secretary with delivery of her governance responsibilities in the UK and Europe including in respect of the Group wide governance framework.

  • Direct and manage Board, Committee and line of business meetings.

  • Direct and manage the corporate and business governance arrangements for subsidiary and other entity boards.

  • Oversee the discharge of regulatory obligations for Branches.

  • Lead and manage the provision of advice, guidance and support on the execution of corporate transactions for HSBC companies and subsidiaries.

  • Provide advice, guidance and support to the HSBC Bank plc Company Secretary, the Group Company Secretary and Deputy Group Company Secretary.

  • Lead and manage a wide range of relationships, at the highest levels, with key internal and external stakeholders.

  • Lead and manage the fulfilment of all statutory obligations for companies, subsidiaries and branches.

  • Support the Group Company Secretary and Deputy Group Company Secretary with the management of HSBC Holdings plc primary listings.

  • Support the HSBC Bank plc Company Secretary in regard to ongoing debt listing obligations.

  • Lead and manage change across the Company Secretaries function.
